Welcome to Ekonix. These Terms of Service ("Terms") govern your access to and use of the Ekonix mobile application ("App") operated by Ekonix ("we," "our," or "us").

Please read these Terms carefully before using the App. By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.

1. Description of Service

Ekonix is a stock research application that:

• Retrieves and displays publicly available financial data from U.S. Securities and Exchange Commission (SEC) EDGAR filings
• Presents financial metrics in visual charts and graphs (revenue, earnings, margins, etc.)
• Displays quarterly, trailing twelve month (TTM), and year-over-year (YoY) growth data
• Shows institutional investor holdings from 13F-HR filings
• Allows you to save stocks to a personal research portfolio stored locally on your device
• Enables you to add personal notes, ratings, and tags to organize your research

2. Important Disclaimers

2.1 Not Financial or Investment Advice

Ekonix is a research and educational tool only. We are NOT:

• Registered investment advisors
• Financial advisors or planners
• Broker-dealers
• Tax advisors
• Legal advisors

Nothing in the App constitutes:

• Investment advice or recommendations
• Financial planning advice
• A recommendation to buy, sell, or hold any security
• An offer to buy or sell securities
• Tax or legal advice

The information provided in the App is for general informational and educational purposes only. You should not make any investment decision based solely on information in the App.

2.2 Consult Qualified Professionals

Before making any investment decisions, you should:

• Consult with a qualified, registered investment advisor
• Conduct your own due diligence and research
• Consider your personal financial situation, risk tolerance, and investment objectives
• Consult with tax and legal professionals as appropriate

2.3 Investment Risks

Investing in securities involves substantial risk, including:

• Risk of loss of principal - you may lose some or all of your investment
• Market volatility - values can decrease significantly
• No guarantee of returns - past performance does not guarantee future results
• Company-specific risks - individual companies may fail or underperform

2.4 Institutional Holdings Data

The App displays institutional investor holdings from SEC 13F-HR filings. Important limitations:

• 13F filings are reported quarterly with a 45-day delay - holdings shown may no longer be current
• Institutional investors may have already sold positions shown in filings
• The fact that an institutional investor holds a position is NOT a recommendation to buy
• Institutional investors have different investment objectives, time horizons, and risk tolerances than individual investors
• We do not endorse, recommend, or advise following any institutional investor's positions

3. Data Accuracy and Reliability

3.1 SEC Data Source

All financial data in Ekonix is sourced from official SEC EDGAR filings. While we strive for accuracy:

• We retrieve data directly from SEC filings without independent verification
• Data accuracy depends on what companies file with the SEC
• Companies may amend or restate filings after initial publication
• There may be delays between when companies file and when data appears in the App
• Some companies may not report certain metrics or may use different accounting methods
• We are not responsible for errors, omissions, or inaccuracies in the original SEC filings

3.2 Data Limitations

• Historical data may be incomplete for some companies
• Companies that change reporting standards may have gaps in data
• Certain metrics may not be available for all companies
• Data is updated periodically and may not reflect the most recent filings

3.3 No Warranty of Accuracy

We make no representations or warranties regarding the accuracy, completeness, timeliness, or reliability of any data displayed in the App. You acknowledge that any reliance on such data is at your own risk.

4. Eligibility

To use the App, you must:

• Be at least 18 years of age (or the age of majority in your jurisdiction)
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the App under applicable laws

By using the App, you represent and warrant that you meet these eligibility requirements.

5. Subscriptions and Payments

5.1 Subscription Plans

Ekonix offers subscription plans to access premium features:

• Monthly Subscription: $4.99 USD per month
• Annual Subscription: $49.99 USD per year

Prices may vary by region and are subject to change. Current pricing is always displayed in the App before purchase.

5.2 Free Trial

New subscribers may be eligible for a 7-day free trial. During the free trial:

• You have full access to premium features
• You will not be charged during the trial period
• If you do not cancel at least 24 hours before the trial ends, your subscription will automatically convert to a paid subscription
• Free trial eligibility is determined by Apple and limited to one trial per Apple ID

5.3 Apple In-App Purchase

All payments are processed through Apple's In-App Purchase system:

• Apple processes all payments and has access to your payment information - we do not
• Purchases are subject to Apple's terms and conditions
• Apple's payment and refund policies apply
• Prices include any applicable taxes as determined by Apple

5.4 Automatic Renewal

Subscriptions automatically renew unless canceled:

• Your subscription will automatically renew at the end of each billing period
• Your Apple ID account will be charged within 24 hours prior to the end of the current period
• You must cancel at least 24 hours before the end of the current period to avoid being charged for the next period

5.5 Managing and Canceling Subscriptions

To manage or cancel your subscription:

1. Open the Settings app on your iOS device
2. Tap your name at the top (Apple ID)
3. Tap "Subscriptions"
4. Select "Ekonix" and choose "Cancel Subscription" or modify your plan

Cancellation takes effect at the end of the current billing period. You will continue to have access to premium features until then.

5.6 Refunds

Refunds are handled by Apple according to their refund policy. To request a refund:

• Visit reportaproblem.apple.com
• Sign in with your Apple ID
• Select the Ekonix purchase and request a refund

We cannot process refunds directly. All refund decisions are made by Apple.

6. Acceptable Use

You agree to use Ekonix only for lawful purposes. You may NOT:

• Use the App for any illegal purpose or in violation of any laws
• Attempt to reverse engineer, decompile, disassemble, or derive source code from the App
• Use automated systems, bots, or scripts to access the App or scrape data
• Attempt to gain unauthorized access to our systems, networks, or servers
• Interfere with or disrupt the App's functionality or servers
• Remove, alter, or obscure any copyright, trademark, or proprietary notices
• Use the App to develop competing products or services
• Redistribute, sublicense, or resell access to the App or its data
• Circumvent any access restrictions or authentication measures
• Use the App in any manner that could damage, disable, or impair our services

7. Intellectual Property

7.1 Our Intellectual Property

The App, including its design, user interface, graphics, logos, code, and documentation, is owned by Ekonix and protected by copyright, trademark, and other intellectual property laws. All rights are reserved.

The Ekonix name and logo are trademarks of Ekonix. You may not use our trademarks without prior written permission.

7.2 SEC Data

Financial data sourced from SEC EDGAR filings is public domain information provided by the U.S. government. The SEC does not endorse, approve, or sponsor Ekonix. We are not affiliated with the SEC.

7.3 Your Content

You retain all rights to the personal content you create in the App, including notes, ratings, and tags. This content is stored locally on your device and is not accessible to us.

7.4 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial research purposes.

8. Disclaimer of Warranties

THE APP AND ALL CONTENT, DATA, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:

• Implied warranties of merchantability and fitness for a particular purpose
• Warranties of accuracy, completeness, or reliability of any data
• Warranties of non-infringement
• Warranties that the App will be uninterrupted, error-free, or secure
• Warranties that defects will be corrected
• Warranties regarding the results of using the App

We do not warrant that the App will meet your requirements or that any information obtained will be accurate or reliable.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• No Liability for Investment Decisions: We are not liable for any investment decisions you make or any financial losses you incur. Your use of the App for investment research is entirely at your own risk.
• No Consequential Damages: We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses.
• No Liability for Data Errors: We are not liable for errors, inaccuracies, or omissions in SEC data or any decisions made based on such data.
• No Liability for Service Interruptions: We are not liable for any interruption, suspension, or termination of the App or services.
• Maximum Liability: In no event shall our total liability exceed the amount you paid for the App in the twelve (12) months preceding the claim, or fifty dollars ($50 USD), whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Ekonix, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or relating to:

• Your use of the App
• Your violation of these Terms
• Your violation of any rights of another party
• Any investment decisions you make based on information in the App
• Any content you create or submit through the App

11. Termination

11.1 Termination by You

You may stop using the App at any time by deleting it from your device and canceling any active subscription.

11.2 Termination by Us

We reserve the right to:

• Terminate or suspend your access to the App at any time, with or without cause, with or without notice
• Modify, suspend, or discontinue the App or any features at any time
• Refuse service to anyone for any reason

11.3 Effect of Termination

Upon termination:

• Your right to use the App immediately ceases
• You remain responsible for any amounts owed
• Sections 2, 8, 9, 10, 13, and 14 survive termination

12. Third-Party Services

12.1 SEC EDGAR

We retrieve data from the SEC's EDGAR system. Your use of data from SEC EDGAR is subject to the SEC's terms of use. The SEC is not responsible for, and does not endorse, the App.

12.2 Apple App Store

Your use of the App through the Apple App Store is subject to Apple's Terms of Service, App Store Review Guidelines, and Apple Media Services Terms and Conditions.

12.3 Third-Party Links

The App may contain links to third-party websites or services. We are not responsible for the content, accuracy, or practices of any third-party sites.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

13.2 Dispute Resolution

Any dispute arising from or relating to these Terms or the App shall be resolved as follows:

• Informal Resolution: Before filing any formal proceeding, you agree to contact us at support@ekonixlab.com to attempt to resolve the dispute informally.
• Arbitration: If informal resolution is unsuccessful, any dispute shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in California, and the arbitrator's decision shall be final and binding.
• Class Action Waiver: You agree to resolve disputes only on an individual basis and waive any right to participate in class actions or class arbitrations.

13.3 Exceptions

Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction for violations of intellectual property rights.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ekonix regarding the App and supersede all prior agreements, representations, and understandings.

14.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

14.5 Modifications

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Material changes will be communicated through the App or by updating the "Last Updated" date. Your continued use of the App after changes constitutes acceptance of the modified Terms.

14.6 Notices
